Introduction

Welcome to CtrlCampus – a cutting-edge platform designed to empower educational institutions in delivering a world-class educational experience. As the brainchild of Ctrlcampus Private Limited and its affiliates, our platform, comprising the website and application collectively referred to as "Platform," offers a modern and robust educational management system. These Terms of Service, along with our Privacy Policy and other platform-specific terms, govern your use of our services, encompassing administration tools, educational delivery, operations management through an ERP, collaboration, and related support and professional services. 

User Responsibilities 

  • As you explore CtrlCampus, the terms "we," "our," and "us" refer to the Company, while "you" or "Users" pertains to individuals engaging with the Platform. To utilize our services, users must be 18 years of age or older. If you are under 18, consult with your parent or legal guardian to ensure understanding and agreement with these terms. By accessing the Platform, you affirm that you are 18 or older, possessing the authority to use the Website and/or Application and abide by this Terms of Service.  

  • This electronic contract adheres to the Information Technology Act, 2000, and other relevant statutes. No physical signatures are required. Read these Terms of Service thoroughly; accessing the Website or using our Services signifies your understanding, agreement, and consent to this electronic contract. 

  • If you disagree or cannot comply with the Agreements, please refrain from using the Service. Feel free to contact us at hello@ctrlcampus.com to discuss potential solutions. These Terms apply to all visitors, users, and others accessing or using the Service.

System Requirements

To effectively utilize our Services, you'll need one or more compatible devices, internet access (subject to applicable fees), and specific software (subject to applicable fees). Additionally, occasional updates or upgrades may be necessary. The performance of these factors—hardware, software, and internet access—can impact your ability to access and use our Services. We recommend high-speed internet access for optimal performance.  
 

Please note that system requirements, subject to occasional changes, are your responsibility. Stay informed about any updates or modifications that may affect your access to and use of the Services. 

Services

The Company commits to providing the Services, including standard updates, available throughout the term. However, the Company reserves the right, at its sole discretion, to discontinue the Services or modify their features without prior notice.

Upon compliance with the Agreement and these Terms of Services, the Company grants a non-exclusive, non-transferable, non-sublicensable right and license. This allows users to access and use the Platform and the Service(s) exclusively for business or educational purposes. Usage must align with the Agreement, Terms of Services, documentation, and any applicable service-specific terms, as well as adhere to all applicable scope of Use descriptions. 

Accounts

Access to the Platform's Services is restricted to individuals capable of forming a legally binding contract. By creating an account, you confirm that you are 18 years or older, providing accurate, complete, and current information. Inaccurate details may lead to immediate account termination. If the Service is intended for someone under 18, the account must be created by a parent or legal guardian who agrees to these Terms of Services. If a person under 18 utilizes the Service, it's assumed they have parental or legal guardian consent 

Maintain the confidentiality of your account and password, restricting access and accepting responsibility for activities under your account. Notify us promptly of security breaches or unauthorized use. Usernames must not infringe on others' rights, be offensive, vulgar, or obscene. We reserve the right to refuse service, terminate accounts, edit content, or cancel orders at our discretion 

Communications

By using the Services or sending electronic communication to the Platform, you acknowledge communicating with the Company through electronic and telecommunication modes. Through Service usage, you agree to subscribe to newsletters, marketing, promotional materials, and other information sent through electronic, digital, and telecommunication channels. Opt-out by using the unsubscribe link or emailing at hello@ctrlcampus.com 

The Company may contact Users via WhatsApp, SMS, email, and call for product information and important updates. Users grant permission to contact through these channels, holding the Company indemnified for any liabilities if the User's number is in the Do Not Call (DNC) database. Upon registration, you agree to share contact details for communication regarding education information and promotions 

Membership and Policy Changes 

The Company reserves the right to charge fees and modify policies on the Platform at its discretion. It may introduce new services or modify existing ones, with unrestricted authority to change, rearrange, add, or delete services, selections, prices, and any other offerings. Changes, including the introduction of fees, are effective immediately upon implementation. You are solely responsible for complying with applicable laws, especially in India, for making payments to the Company. The Company will make efforts to notify you of any such changes and their effective date. 
 

Pricing and Typographical Error: 
In case of typographical errors in pricing or services information, the Company has the right to rectify the error, cancel orders, and refund collected monies within 90 business days of corrective action. 

Promotions and Competitions Terms

Contests, sweepstakes, or other promotions ("Promotions") available through the Service may have separate rules from these Terms of Service. If you participate, please review the applicable rules and our Privacy Policy. If Promotion rules conflict with these Terms, the Promotion rules will prevail. The Company may conduct competitions, and by participating, you allow the company to use your submissions (videos, written content, craft work, etc.) for promotional purposes. All rights to these submissions will be reserved by the company. You also permit the company to use any information you submit (photos, videos, etc.) for promotional campaigns, relinquishing your rights once submissions are made to the company 

Terms of Platform and Service Usage

You are allowed to use the Platform and Services only for lawful purposes and in accordance with these Terms of Services 

You agree not to use the Platform and Services: 

  •  In violation of any applicable national or international law or regulation.  

  •  To exploit or harm any person, especially minors, or expose them to inappropriate content.  

  • For sending any advertising, promotional material, or unsolicited communications.  

  •  To impersonate Company, its employees, other users, or any other person or entity. 

  • In a way that infringes upon the rights of others, is illegal, threatening, fraudulent, or harmful. 

  • To engage in conduct that restricts or inhibits anyone’s use or enjoyment of Service or may harm or offend Company or users.  

Additionally, you agree not to:

  •  Disable, overburden, damage, or impair Service or interfere with any other party’s use of Service.  

  • Use any automated means to access the Platform and/or the Service without prior written consent 

  • Monitor or copy material on Service without our consent.  

  • Use for any unlawful or prohibited purpose or activity that infringes the rights of the Company or others. 

  • Interfere with the proper working of the Platform. 

  • Introduce malicious software or other harmful material.  

  • Attempt unauthorized access, interfere with, damage, or disrupt Service or associated servers. 

  • Conduct a denial-of-service or distributed denial-of-service attack.  

  • Take actions that may damage or falsify Company ratings.  

  • Decompile, reverse engineer, or disassemble any material or content on the Website.  

  • Attempt to interfere with the proper working of the Platform and the Service. 

Payment & GST Terms

The Company facilitates payments through Payment Service Providers ("PSP") partners. Users should refrain from sharing personal UPI pin or OTP with any third party, as the Company does not solicit such information over calls or otherwise. The Company and PSP partners are not liable for fraud resulting from the User's sharing of such details. 

 

The Company is not responsible for any loss or damage arising from: 

  • Lack of authorization for a transaction.  

  • Exceeding the mutually agreed pre-set limit between the User and the third-party bank. 

  • Payment issues arising from the transaction. 

  • Transaction decline for other reasons

Applicability of GST: 

If GST applies to the services, users must inform the Company in writing at least ten days in advance, including details of GSTIN. The Company will collect GST at source as per applicable law and pass on the credit by filing relevant returns. If GST doesn't apply, it is assumed. 

User's GST Liability: 

The Company is not responsible for any GST liability arising from the user's services through the Platform. Any costs incurred by the Company due to user non-compliance or non-communication regarding GST aspects are reimbursable by the user, including taxes, interest, and penalties. 

Refund/Cancellation Policy

Users are advised to make payments after thorough consideration of all terms and conditions. Once initiated, payments are considered final and cannot be cancelled. The Company does not facilitate refunds for any payment transactions on the Platform. In case of entering the wrong number/VPA ID, the Company is not liable for the transaction. 

Analytics:

Our Service may utilize third-party service providers for monitoring and analysing user activity. 

Intellectual Property

The Platform, along with its original content, features, functionality, structure, expression, "look and feel," graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code ("Company Data"), is the exclusive property of the Company and its licensors. The Platform is protected by copyright, trademark, and other applicable laws in the jurisdiction of the Company's operations. The use of our trademarks requires prior written consent from the Company

Unless expressly provided in these Terms of Services, no part of the Platform or Company Data may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed without the Company’s express prior written consent. Company Data on the Platform is for personal, limited, and non-exclusive use. Any use beyond personal, non-commercial use is a violation of copyrights, trademarks, and other proprietary rights and is prohibited. 

Copyright Property 

We uphold the intellectual property rights of others and anticipate our users to do the same. In appropriate circumstances, the Company may terminate the accounts of users who infringe or are believed to be infringing the rights of copyright holders.

Error Reporting and Feedback

Feel free to share information and feedback about errors, suggestions, improvements, ideas, problems, or complaints directly at hello@ctrlcampus.com or through third-party sites and tools. By providing feedback, you acknowledge and agree that: (i) you do not claim any intellectual property right or interest in the feedback; (ii) Company may have similar development ideas; (iii) feedback should not include confidential or proprietary information; and (iv) Company is not bound by confidentiality regarding the feedback. If the transfer of ownership to the feedback is not possible due to applicable laws, you grant Company and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited, and perpetual right to use the feedback in any manner and for any purpose.

Our Platform may use third-party application program interfaces and include links to websites or services not owned or controlled by the Company.

The Company has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We do not endorse or warrant the offerings of these entities or their websites. 

You acknowledge and agree that the Company is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any third-party websites or services.

We strongly recommend reading the Terms of Service and Privacy Policies of any third-party websites or services you visit. 

Disclaimer of Warranty :

The Platform, Services, and the Company Data are provided by the Company on an "as is" and "as available" basis. Company makes no representations or warranties of any kind, express or implied, regarding the operation of the Platform and the Services or the information, content, or materials included therein. Your use of the Platform, its content, and any services or items obtained from us is at your sole risk. 
 

Company and any person associated with Company do not make any warranty or representation regarding the completeness, security, reliability, quality, accuracy, or availability of the Services or its content. Neither Company nor anyone associated with Company represents or warrants that the Platform, its content, or any services or items obtained through the services will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that the services or the platform making it available are free of viruses or other harmful components, or that the platform or any services or items obtained through the platform will meet your needs or expectations. 
 

Company disclaims all warranties, whether express or implied, statutory, or otherwise, including but not limited to warranties of merchantability, non-infringement, and fitness for a particular purpose. The Company will not be liable for any losses, damages, or claims by you or any third party in this regard. This disclaimer does not affect any warranties that cannot be excluded or limited under applicable law. 

Indemnity and Limitation of Liability:

You agree to hold the Company, its licensor, officers, directors, employees, other licensees, and agents harmless for any loss, damage, or claim, however it arises, arising from this agreement and any violation by you of any central, state, or local laws, statutes, rules, or regulations or terms of service. The Company's liability, if any, will be limited to the amount paid by you for the products and/or services on the Platform.

Under no circumstance, including negligence, shall the Company be liable for any indirect, incidental, special, exemplary damages for lost profits, business interruption, loss of programs, or information arising out of the use of or inability to use the Platform or consequential damages resulting from the use of, or the inability to use, the information, content, or materials on the Platform. The Company shall not be liable for any unauthorized access, hacking, data loss, or other breaches that may occur despite reasonable precautions.

Termination :

The Company reserves the right to terminate or suspend your account and restrict access to the Platform or any Services immediately and without prior notice or liability, at its sole discretion, for any reason, including but not limited to a breach of these Terms of Services or any other agreement. 

If you choose to terminate your account, you can do so by discontinuing the use of the Service. All provisions of these Terms of Services that, by their nature, should survive termination, will do so. This includes, but is not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. In case of a breach of these Terms of Services, Privacy Policy, or other rules and policies, the Company reserves the right to recover any outstanding amounts or take legal action, including, but not limited to, referring the matter to the appropriate authorities for criminal proceedings. 

Governing Law :

These Terms of Services shall be governed and construed in accordance with the laws of India. The governing law applies to this agreement without regard to its conflict of law provisions. Any disputes related to these Terms of Services and other agreements will be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana, India. 

Force Majeure :

The Company is not liable for any delay in performance or non-performance of its obligations hereunder and shall not be liable for any loss or damages caused thereby. This exemption applies when the delay or non-performance is caused by factors beyond the Company's control, including but not limited to acts of God, war, civil disturbance, governmental or parliamentary restrictions, prohibitions, or enactments, accidents, non-availability, or delays in transport, or any endemic, pandemic, epidemic, or outbreak of any disease, including Covid-19.

Change to Service

We reserve the right to withdraw or amend our Services, and any service or material provided via the Platform, at our sole discretion without notice. We will not be liable if, for any reason, all or any part of the Service is unavailable at any time or for any period. Periodically, we may restrict access to certain parts of the Platform or the Services, or the entire Platform, to users, including registered users. 

Amendments to Services :

We may amend these Terms of Services at any time by posting the amended terms on the Platform. It is your responsibility to review these Terms periodically. 

Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently to stay aware of any changes, as they are binding on you. 

By continuing to access or use our Platform and the Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Platform and the Service. 

The remaining provisions of these Terms of Services will continue in full force and effect

Waiver and Severability :

No waiver by Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Company to assert any right or provision under these Terms of Services shall not constitute a waiver of such right or provision. 

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions of these Terms of Services will continue in full force and effect.

Assignments :

The Company reserves the right to transfer, sub-contract, or otherwise deal with its rights and/or obligations under these Terms of Services without notifying you or obtaining your consent. 

You may not transfer, sub-contract, or otherwise deal with your rights and/or obligations under these Terms of Services.

Acknowledgment :

By using the Platform or other services provided by us, you acknowledge that you have read these Terms of Service and agree to be bound by them.
